Platform Terms
Last updated: 6 November 2026. The French version prevails in case of discrepancy.
1. Katalyz and scope
1.1. The Katalyz platform accessible at app.katalyz.co and its tenant subdomains (the "Platform") is operated by Pantograph, a French société par actions simplifiée with a share capital of EUR 11,948, registered office at 14 rue Beffroy, 92200 Neuilly-sur-Seine, France, registered with the Nanterre Trade and Companies Register under number 912 616 687 ("Katalyz").
1.2. These Platform Terms govern access to and use of the Platform by the Customer and its Users, as defined in section 2.
1.3. Where the Customer has signed a Subscription Agreement and an Order with Katalyz, that agreement governs the Customer's use of the Platform and prevails over these Platform Terms in case of conflict. These Platform Terms then apply only to matters that agreement does not cover.
1.4. The Platform is intended for professional use only. By accepting these Platform Terms, the User represents that they act on behalf of the Customer and are authorized to bind it.
1.5. These Platform Terms are completed by the AI Connector Terms, the Privacy Policy and, where Katalyz processes personal data on the Customer's behalf, the Data Processing Agreement.
2. Definitions
- Customer: the company or other organization on whose behalf a User accesses the Platform.
- User: any natural person who uses the Platform, whether an Authorized User or a Guest, including through an integration or an AI assistant connector.
- Authorized User: an employee, contractor or other person acting for the Customer who accesses the Platform under the Customer's account. Guests are deemed Authorized Users of the Customer that invited them.
- Guest: a person outside the Customer's organization (a client, prospect or partner of the Customer) invited by the Customer to a dealroom.
- Content: any information, document, file or data uploaded to, or created in, the Platform by or for the Customer or its Users, including inputs to AI features.
- Order: an order form signed between the Customer and Katalyz under the Subscription Agreement.
- Trial: free, time-limited access to the Platform without an Order, including through the self-serve signup at katalyz.co/try.
3. Accounts and access
3.1. Subject to these Platform Terms, Katalyz grants the Customer and its Users a limited, non-exclusive, non-transferable and non-sublicensable right to access and use the Platform, solely for the Customer's internal business purposes.
3.2. Each account is personal. The User keeps their credentials confidential and informs Katalyz without delay at dsi@katalyz.co of any unauthorized use of their account or any security incident.
3.3. The Customer is responsible for all activity carried out under its accounts, including by Guests it invites and by integrations or AI assistants its Users connect.
4. Acceptable use
The Customer and its Users shall not:
- copy, modify, resell, sublicense or make the Platform available to a third party, or create derivative works from it;
- decompile, disassemble or reverse engineer the Platform, except as permitted by applicable law;
- circumvent any access, usage limit, licensing or security mechanism, or run penetration tests or load tests without Katalyz's prior written consent;
- upload or share content that is unlawful, infringing, misleading, threatening or that violates third-party privacy rights, or that contains malware;
- use the Platform to access data of another organization, or to send unsolicited communications in breach of applicable law;
- use the Platform to build a competing product or publish benchmark results without Katalyz's prior written consent.
5. Trial
5.1. A Trial lasts for the period shown at signup. Katalyz may shorten, extend or end a Trial at any time.
5.2. During a Trial, the Platform is provided "as is", without any warranty or service level.
5.3. Unless agreed otherwise in writing, a Trial is granted once per Customer, and only to a Customer that, together with the entities it controls, is controlled by or is under common control with (within the meaning of article L.233-3 of the French Commercial Code), has not previously used Katalyz under a Trial or an Order.
5.4. If no Order is signed by the end of the Trial, access ends and Katalyz may delete the Content created during the Trial 30 days later.
6. Paid subscriptions
Paid use of the Platform requires an Order signed between the Customer and Katalyz. Fees, subscription term, renewal, invoicing and payment are governed exclusively by the Order and the Subscription Agreement it references.
7. Guests
7.1. A Guest accesses only the dealrooms to which a Customer invited them, under these Platform Terms.
7.2. The inviting Customer decides who is invited, what is shared with them and when access ends, and is responsible for having the right to share that Content. Katalyz is not a party to the relationship between the Customer and its Guests, and is not responsible for Content that one of them shares with the other.
8. Content and intellectual property
8.1. The Customer (or its licensors) keeps all rights in its Content. The Customer grants Katalyz a worldwide, non-exclusive license to host, copy, process, transmit and display the Content as needed to provide the Platform.
8.2. The Customer is responsible for its Content and warrants that it holds all rights and authorizations needed to upload and share it, including to share personal data it contains.
8.3. Katalyz and its licensors own all rights in the Platform, including improvements and derivative works. No right is granted other than those expressly set out in these Platform Terms.
8.4. Katalyz may freely and without compensation use any feedback about the Platform provided by the Customer or its Users.
8.5. Katalyz may collect and use data about the use and performance of the Platform, including the use of AI features, in de-identified and aggregated form, to maintain, improve and develop its products and services.
9. AI features
9.1. Some features of the Platform rely on generative artificial intelligence, including the generation of dealroom content, summaries, scoring and recommendations ("AI Features"). They are decision-support tools and are not intended to be used without human review.
9.2. AI outputs are produced by probabilistic models. They may be inaccurate, incomplete or inconsistent, and similar inputs may produce different outputs over time. The User must review and validate any output before relying on it or sharing it with anyone.
9.3. No decision or action is taken by the Platform on the basis of an AI output without the intervention of a User. AI Features must not be used as the sole basis for decisions concerning health, safety, employment, financial eligibility or legal compliance.
9.4. The Customer is responsible for ensuring that its use of AI Features complies with applicable laws, including Regulation (EU) 2024/1689 (AI Act). The AI Features are not designed as high-risk AI systems within the meaning of that regulation.
9.5. Content submitted to AI Features is processed by Katalyz's AI provider under a data processing agreement, is not retained by that provider beyond the processing of the request and is not used to train its models.
10. Integrations and third-party services
10.1. The Platform can connect to third-party services chosen by the Customer or its Users, such as CRMs, email and calendar accounts, e-signature, meeting recording and AI assistants.
10.2. Each third-party service is governed by its provider's own terms and privacy policy. Katalyz is not responsible for third-party services, their availability or the way they process data the Customer or its Users send to them.
10.3. Use of the Platform through an AI assistant connector is also governed by the AI Connector Terms.
11. Availability and changes to the Platform
11.1. Katalyz makes reasonable efforts to keep the Platform available 24 hours a day, 7 days a week, subject to maintenance, force majeure and the availability of the internet. Service levels, if any, are set out only in an Order.
11.2. Katalyz may update, add or remove features. For paid subscriptions, Katalyz will not materially decrease the functionality of the Platform during the subscription term.
12. Suspension and termination
12.1. Katalyz may suspend access to all or part of the Platform, without notice or compensation, if the Customer or a User breaches these Platform Terms, or if their use threatens the security, integrity or availability of the Platform, other users or their data.
12.2. A User may close their account at any time. Katalyz may close an account that breaches these Platform Terms, or that has been inactive for more than 2 years.
12.3. After a paid subscription ends, the Customer has 30 days to retrieve its Content, after which Katalyz may delete it, as set out in the Subscription Agreement.
13. Warranty disclaimer
Except as expressly provided in a signed Order, the Platform, including the AI Features, is provided "as is" and "as available". To the extent permitted by law, Katalyz makes no warranty that the Platform will be uninterrupted or error-free, or fit for a particular purpose.
14. Liability
14.1. Nothing in these Platform Terms limits liability for fraud, for death or personal injury caused by negligence, or any liability that cannot be limited by law.
14.2. Katalyz is not liable for indirect damages, including loss of revenue, profit, business, data or goodwill.
14.3. Katalyz is not liable for damage caused by (a) a breach of these Platform Terms by the Customer or its Users, (b) Content not provided by Katalyz, including Content shared by Guests or other users, (c) reliance on AI outputs, or (d) third-party services, hosting providers, AI providers or telecommunications networks.
14.4. Katalyz's total aggregate liability arising from use of the Platform under these Platform Terms is limited to the greater of (a) the amounts paid by the Customer to Katalyz in the 12 months preceding the event giving rise to liability, and (b) EUR 100.
15. Indemnity
The Customer will indemnify and hold Katalyz harmless against any claim arising from (a) use of the Platform by the Customer or its Users in breach of these Platform Terms, or (b) the Customer's Content, including claims that it infringes third-party rights.
16. Personal data
16.1. Katalyz processes personal data concerning Users as data controller, as described in the Privacy Policy.
16.2. For personal data contained in Content, the Customer acts as data controller and Katalyz as processor, under the Data Processing Agreement. The list of sub-processors is available at katalyz.co/subprocessors.
17. Confidentiality
Each party keeps confidential the non-public information it receives from the other in connection with the Platform, and uses it only to perform these Platform Terms. The Customer's Content is its confidential information; non-public information about the Platform's features and performance is Katalyz's confidential information.
18. Changes to these Platform Terms
Katalyz may update these Platform Terms. Material changes are notified by email or in the Platform at least 30 days before they apply. Continued use of the Platform after that date constitutes acceptance of the updated terms. A signed Subscription Agreement is not changed by an update of these Platform Terms.
19. Miscellaneous
19.1. Katalyz may use subcontractors and remains responsible for their performance.
19.2. Neither party is liable for failure to perform due to force majeure within the meaning of article 1218 of the French Civil Code.
19.3. If a provision of these Platform Terms is held invalid, the other provisions remain in force. Not enforcing a provision is not a waiver of it.
19.4. The parties exclude the application of articles 1222 and 1223 of the French Civil Code.
20. Governing law and jurisdiction
These Platform Terms are governed by French law. The parties will try to settle any dispute amicably within 30 days of its notification. Failing that, the courts of Paris have exclusive jurisdiction.
